LLC Formation and Business Setup in Raleigh, NC

Forming a business is a tax decision as much as a legal one. James provides LLC formation services for Raleigh business owners who want that decision made with the numbers in view: before the paperwork, he walks you through what an LLC, an S corporation election or staying a sole proprietor means for your tax bill, your payroll and your bookkeeping, then sets up the entity and registrations so your first year starts clean.

  • LLC formed with the North Carolina Secretary of State
  • EIN obtained and S corporation election filed when it makes sense
  • NC Department of Revenue and payroll registrations completed
  • Bookkeeping and payroll set up from day one
  • An Enrolled Agent explaining the tax side before you choose

Most new owners form a business in an afternoon online and spend the next three years paying for choices they did not know they were making. The structure you pick decides your tax bill, whether you run payroll, and which return you file. Decide it with the numbers in front of you.

An LLC is a legal container. How it is taxed is a separate choice, and the S corporation election is the one that saves money once profits are high enough to justify running payroll and a separate return. Make it too early and the extra cost eats the saving. James runs your expected numbers and tells you which side of that line you are on.

What this service is and is not

James forms single-owner businesses and handles every tax side of the setup. If you are going into business with partners, the agreement between the owners is legal work, and he will refer you to an attorney for that part while handling the tax registrations and bookkeeping for the new company.

After formation: the first year decides the habits

Every NC LLC files an annual report with the Secretary of State by April 15 each year, and a missed report eventually costs the LLC its good standing. We put it on your calendar with the tax deadlines, so it is never the thing you find out about from a notice.

New businesses that keep books from the first month know whether they are profitable by the third. Those that wait until tax season rebuild a year of records under deadline. Setting up the books, the payroll and the quarterly estimates at formation is the cheapest insurance a new owner can buy, and it is included in how we do this.

Questions clients ask

Do I need an attorney to form an LLC in North Carolina?

No. A single-owner LLC is formed by filing Articles of Organization with the NC Secretary of State, and James handles that filing with you. If you are forming a business with partners, a partnership or operating agreement between the owners is attorney work, and James will refer you to one for that part.

LLC or S corporation: which should I choose?

An LLC is a legal structure; an S corporation is a tax election an LLC can make. Most new single-owner businesses start as an LLC taxed as a sole proprietorship and elect S corporation status once profits reliably exceed a reasonable owner salary. James runs your expected numbers before recommending either.

What registrations does a new Raleigh business need?

At minimum a federal EIN, a North Carolina withholding account if you will have employees, a sales and use tax account if you sell taxable goods or services, and any city or county privilege licenses that apply to your trade. We cover the tax registrations as part of the setup.

How long does it take?

The Secretary of State typically processes online LLC filings within a few business days. The EIN is immediate. Tax registrations follow within a week or two. Most clients are ready to open a business bank account inside two weeks.

What happens after the business is formed?

That is where the real work starts. We set up your bookkeeping, payroll if you have employees, and a plan for estimated tax payments so the first year does not end with a surprise bill.
